• Supreme decision-making body
• Held once a year
• All members entitled to attend and vote
• Approves annual reports and financial statements
• Elects Board members and Supervisory Committee

BOARD OF DIRECTORS

• Elected by members during AGM
• Comprises 9 members serving 3-year terms
• Responsible for policy formulation and strategic direction
• Meets at least quarterly
• Accountable to the AGM

SUPERVISORY COMMITTEE

• Elected by members during AGM
• Comprises 5 members
• Oversees Board and Management activities
• Ensures compliance with By-laws and regulations
• Handles member complaints

MANAGEMENT

• Chief Executive Officer appointed by the Board
• Implements Board policies and decisions
• Manages day-to-day operations
• Reports to the Board

COMMITTEES

Various Board committees including:

• Credit Committee
• Finance & Investment Committee
• HR & Administration Committee
• Risk & Compliance Committee
